These Terms and Conditions ("Terms") govern your access to and use of Ghostpilot (the "Service"), an AI-powered SEO platform operated by Ghostpilot, Inc. ("we," "us," or "our"). The Service includes the website at ghostpilot.ai, associated web applications, APIs, dashboards, and any related documentation or support.

By creating an account, accessing the Service, or clicking "I Accept," you agree to be bound by these Terms. If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity.

If you do not agree with these Terms, you must not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. You represent that all information you provide is accurate and complete.

• You must create an account with a valid email and strong password.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized access or security breach.
• We may suspend or terminate accounts for suspicious activity.

We offer Free, Starter, Pro, and Enterprise plans. Features and limits are described on our pricing page.

• Subscriptions are billed in advance on a monthly or annual cycle.
• All fees are non-refundable except as stated in Section 11 (Refunds).
• We use Stripe for payment processing. You authorize us to charge your selected payment method.
• Prices may change with 30 days’ notice. Changes apply at the start of your next billing cycle.

You are responsible for all applicable taxes (e.g., VAT, GST) unless we explicitly state inclusion.

• Downgrading may cause loss of features, data, or access.
• Usage beyond plan limits incurs overage fees at published rates.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your internal business purposes.
• Integrate via API as permitted by your plan.

Prohibited Actions include but are not limited to:

You retain all rights to content you upload ("User Content"), including website data, keywords, drafts, and files.

You grant us a worldwide, royalty-free, sublicensable license to:

• Process User Content to deliver SEO analysis, recommendations, and reports.
• Store, host, and back up your data.
• Use anonymized, aggregated data for product improvement and research (never identifiable).

• You warrant that User Content does not violate laws or third-party rights.
• You are solely responsible for the accuracy and legality of your content.
• We may remove or disable access to violating content without notice.

• AI-Generated Content (e.g., meta tags, outlines, keyword suggestions) is provided "as is."
• You are granted a non-exclusive license to use AI outputs in your projects.
• We do not claim ownership of AI outputs, but we retain rights to the underlying models and algorithms.
• You must review and edit AI content for accuracy, brand voice, and compliance.

Both parties agree to keep confidential any non-public information disclosed during use of the Service, including:

• SEO strategies
• Performance data
• Pricing (for Enterprise clients)
• Technical implementations

This obligation survives termination for 3 years.

• We strive for 99.9% uptime (excluding maintenance).
• Scheduled maintenance will be announced 48 hours in advance.
• Support response times vary by plan: 
  • Free/Starter: Community forums, email (48-hour response)
  • Pro: Priority email (24-hour response)
  • Enterprise: Dedicated Slack channel, 4-hour response, SLA

The Service integrates with tools like:

• Google Search Console
• Google Analytics
• Ahrefs, SEMrush (via API)
• WordPress, Shopify

You are responsible for:

• Granting and maintaining valid permissions.
• Complying with third-party terms.
• Any data shared with those platforms.

We are not liable for third-party service disruptions.

• Cancel anytime via account settings.
• Cancellation takes effect at the end of the current billing cycle.
• No prorated refunds.

We may suspend or terminate your access immediately if you:

• Breach these Terms
• Engage in fraud or abuse
• Fail to pay fees
• Pose a security risk

Upon termination:

• Your right to use the Service ends.
• You must delete any cached AI outputs.
• We retain data per our Privacy Policy.

• Monthly Plans: Cancel anytime; no refunds for partial months.
• Annual Plans: 14-day money-back guarantee for new signups only.
• Enterprise: Custom refund terms in your Order Form.

To request a refund, email billing@ghostpilot.ai within the eligible window.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Fitness for a particular purpose
• Non-infringement
• Accuracy of SEO predictions
• Google ranking guarantees

SEO is inherently unpredictable. We do not guarantee improved rankings, traffic, or revenue.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.
• We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss).
• This applies even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Ghostpilot, its officers, and affiliates from any claims arising from:

• Your User Content
• Violation of these Terms
• Use of AI outputs in violation of third-party rights

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Disputes:

1. Informal Resolution: Contact us first at legal@ghostpilot.ai.
2. Arbitration: Any unresolved dispute will be settled by binding arbitration in Wilmington, Delaware under AAA rules.
3. No Class Actions: You waive the right to participate in class actions.
4. Exceptions: Small claims court or IP infringement claims may be filed in court.

We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, cyberattacks, government actions).

We may modify these Terms with notice:

• Minor changes: Posted on the website.
• Material changes: Email notification 30 days in advance.

Continued use after changes means acceptance.

• Entire Agreement: These Terms, our Privacy Policy, and any Order Form constitute the full agreement.
• Severability: Invalid provisions do not affect the rest.
• Assignment: We may assign these Terms; you may not without consent.
• No Waiver: Failure to enforce a right is not a waiver.
